Pursuant to the processes of both organizations to seek consensus amongst its partnership during November 2002, and the subsequent agreement obtained thereof, This Memorandum of Understanding is made on the 22nd day of January
2003 Hereinafter jointly referred to jointly as ¡°the Parties¡± and singularly as ¡°Party¡±; WHEREAS the NAHB Research Center (NAHBRC), a non-profit, non-government research organization known as America¡¯s Housing Technology and Information Resource and the leader in research and development for the home building industry, is desirous of developing and delivering valuable information to the Chinese housing industry and to building product companies and homebuilders around the world that are evaluating entry into the Chinese market, WHEREAS the China Housing Industry Association (CHIA), a non-profit, non-government organization representing the common interests shared by the enterprises in the Chinese housing industry, is desirous of seeking opportunities for international cooperation and building a market-based home building environment, WHEREAS both Parties have identified that a partnership between them is mutually beneficial and synergistic, and are both desirous of establishing a more formal relationship with each other, This Memorandum of Understanding (hereinafter called ¡°MoU¡±) sets out the points of agreement and the terms and conditions pertaining to the Parties¡¯ collaboration. ARTICLE 1. AREAS OF COOPERATION 1.1 This MoU presents the areas of cooperation, specifically listed in Article 2, 3, and 4 and any others that in general fall under the next section, and which from time to time may be added to this document by mutual agreement of both parties. 1.2 In general, both Parties agree to cooperate in the
following areas of: ARTICLE 2. EVENT PARTICIPATION AND VISIT 2.1 In January 2003, CHIA is sending a group of Chinese leading housing enterprises to the 2003 International Builders¡¯ Show at Las Vegas, Nevada to visit building product companies and housing projects. 2.2 CHIA will organize Chinese housing enterprises to attend the 2004 International Builders¡¯ Show to be held in Las Vegas, Nevada. 2.3 By Q1 of 2003, CHIA will invite NAHBRC to co-host housing forums and workshops in China. CHIA will also invite the NAHBRC to co-evaluate (co-judge) China¡¯s green building awards. 2.4 In May 2003, Prof. Meisheng Nie, President of CHIA will visit the NAHB and the NAHB Research Center. 2.5 By the end of 2003, CHIA will invite NAHBRC to CHIA¡¯s Annual Conference in China. ARTICLE 3. COLLABORATIVE RESEARCH 3.1 CHIA will participate in and facilitate the NAHBRC¡¯s development of the Chinese Annual Builder Practices Survey. 3.2 NAHBRC will participate in research on China¡¯s green housing standard and rating system. 3.3 NAHBRC will participate in research on planning and design of low-density housing. 3.4 CHIA will invite the NAHBRC to participate in ¡°Green Buildings¡± research projects sponsored by Chinese Ministry of Science and Technology (MoST). ARTICLE 4. HOUSING AWARD PROGRAMS 4.1 CHIA has recommended that China¡¯s green buildings and energy efficiency projects apply for the U.S. National Green Building Awards and National EnergyValue Housing Awards, which the NAHBRC manages. If appropriate, a category for Chinese Housing will be established. 4.2 CHIA has invited NAHBRC to serve on the review committee for China¡¯s ¡°BH (Better Home) Housing Industry Science and Technology Award¡±. ARTICLE 5. AMENDMENTS 5.1 This MoU may be amended and supplemented in writing at any time as decided and agreed by mutual written consent of the Parties. ARTICLE 6. TERMS of MOU 6.1 This MoU shall commence on the date of its execution by the Parties and shall remain in force for a period of two years; thereafter the MoU shall terminate unless otherwise extended by the Parties. ARTICLE 7. EXTENSION 7.1 This MoU can be extended by agreement of both Parties.
